This agreement outlines the general terms and conditions (the General Terms and Conditions) applicable to the use of the services offered by Nutrix (“the Services”) on the website www.nutrix.ai (“the Site”). Any person (hereinafter “User” or collectively “Users”) who wishes to access and/or use the Site or Services may do so subject to the General Terms and Conditions, along with all other policies and principles governing Nutrix, which are incorporated herein by reference.

The User must read, understand, and accept all the terms established in the General Terms and Conditions, the Privacy Policy, and any other documents incorporated by reference, prior to registering as a User, expressly opting to receive them and all other communications through digital means.

Nature of the Services

The Site is a digital nutrition platform designed to provide virtual support without human intermediation or interaction, through predefined conversations conditioned by algorithms (chatbot).

Nutrix does not offer and will not offer medical advice and is not intended for emergency situations. In an emergency, please contact your medical service or local emergency services.

The User acknowledges and understands that the Site and its content are informational only. Therefore, they accept that the Site does not and will not provide medical advice. Nutrix is not a healthcare service nor a substitute for one. Nutrix does not provide medical diagnoses and cannot be considered professional medical treatment.

Nutrix is not, under any circumstance, a health insurance provider, prepaid medical service, social security program, at-home medical service, or unlimited medical service.

The conversations a User has on the Site are pre-programmed based on scientific elements and sources related to clinical nutrition, both local and international. Any outcomes generated from the User's responses are based on predefined nutritional profiles created by external specialists and should not be interpreted as a diagnosis or a substitute for the advice and evaluation of a licensed nutritionist.

The Services are only accessible to Users who purchase a subscription through the Site by paying a subscription fee.

Users – Legal Capacity

The Services are only available to individuals who are legally capable of entering into a contract. Individuals who do not meet this requirement and/or are under 18 years old may not use the Services.

The User declares, under their own responsibility, to be of legal age and to have sufficient capacity to be bound by these conditions.

Registration / Onboarding

Filling out the registration form with valid data in all required fields is mandatory to use the services provided by Nutrix.

The User must provide accurate, precise, and truthful personal information (“Personal Data”) and is responsible for updating it as necessary. Personal Data will be processed in accordance with our Privacy Policy.

The User expressly consents to Nutrix using various means to verify and/or validate their Personal Data, and undertakes to review and keep such data updated.

Nutrix is not responsible for the accuracy of User Personal Data. Users guarantee the truthfulness, accuracy, validity, and authenticity of their Personal Data.

The User will access their personal account (“Account”) by entering their username and chosen personal security password (“Security Key”), and is responsible for keeping it confidential.

The Account is personal, unique, and non-transferable. It is prohibited for a User to have or register more than one account. If Nutrix detects multiple accounts with similar or related data, it may cancel, suspend, or disable them.

The User is responsible for all actions performed through their Account, as access is restricted to the User's Security Key. The User agrees to notify Nutrix immediately of any unauthorized use of their Account or unauthorized access by third parties.

The sale, assignment, or transfer of the Account is strictly prohibited.

In line with the principle of proactive responsibility, Nutrix reserves the right to reject any registration request or cancel a previously accepted registration, without being obliged to disclose the reason, and without generating any right to compensation.

Additionally, the User agrees to:

1. Provide truthful and up-to-date registration data.
2. Not publish content contrary to the law or human dignity; discriminatory content based on birth, race, sex, religion, opinion, or any other personal or social condition; or any content deemed inappropriate by Nutrix.

Nutrix reserves the right to make changes it deems necessary, including adding, modifying, or removing content or services offered through the Site.

Community Rules

By accepting these General Terms and Conditions, all Users acknowledge and accept the following basic Community Rules for all interactions on the Site:

• Be kind and respectful: To create a pleasant environment, we must treat each other with respect. You may discuss various topics as long as you remain courteous.
• Do not use explicit sexual language: We maintain a respectful environment free of sexually explicit content.

Prohibitions

Users may not falsify or manipulate their Personal Data. Such activities, at Nutrix’s sole discretion, may be investigated and penalized with suspension or cancellation of the Account, without prejudice to any legal actions.

Nutrix may remove User-posted data if it determines—at its sole discretion—that such data or behavior violates these Terms and Conditions.

System or Database Violations

Users may not use devices, software, or any other means to interfere with Nutrix’s operations or its systems, offers, accounts, or databases.

Any attempt or activity that violates the law or these Terms will subject the User to legal action, penalties, and the obligation to compensate for any damage caused.

Sanctions

Nutrix may warn, suspend, or permanently disable a User’s Account or access to Services and take legal action if:

• (a) they breach any law or these Terms
• (b) they violate their User commitments
• (c) they engage in fraudulent or suspicious behavior
• (d) their identity cannot be verified or false information is provided
• (e) their actions may result in liability to other Users or to Nutrix

If a User is suspended, their published Personal Data may be removed from the Site.

Infringement Notice Procedure

If a User believes their rights have been violated, they may notify Nutrix by email at contacto@nutrix.ai. Upon receipt, Nutrix may take action, including removing the disputed content, without admitting liability.

By submitting such notice, the User grants Nutrix the right to use, reproduce, display, modify, adapt, publish, and/or translate the content worldwide, including the right to forward the email and content to the alleged infringer.

The User releases Nutrix from any liability for claims made by third parties related to the notice.

System Failures

Nutrix is not responsible for damage, loss, or harm caused to Users due to system, server, or internet failures. Nutrix is also not liable for viruses potentially affecting User devices.

Users may not hold Nutrix responsible for technical issues or internet failures. Access to the Site and Services is not guaranteed to be uninterrupted or continuous.

The Services are provided “as is”, without any express or implied warranties. Nutrix is not liable for errors or omissions on the Site.

Link Policy

The Site may contain links to other websites with different terms and privacy policies. Nutrix is not responsible for the content or practices of linked sites. Users should read the relevant terms and policies.

The existence of links does not imply a relationship or endorsement by Nutrix.

Users may also use third-party services (e.g., payment processors, mobile platforms). These services may have additional terms and conditions.

Use of Cookies

Cookies from Nutrix or third parties may be used to collect User activity data such as access location, session time, operating system, pages visited, etc.

Cookies can be disabled, but this may affect site functionality. Nutrix’s cookies are temporary and anonymous, and do not collect identifying personal information.

Intellectual and Industrial Property

All intellectual and industrial property rights related to the Site (pages, structure, design, source code, software, audio, etc.) are owned by or licensed to Nutrix, unless otherwise specified.

The name, design, and logos are registered trademarks. Unauthorized use is prohibited and may be legally pursued.

Third-party intellectual property must be respected.

Users are not authorized to download or reproduce content without prior written permission from Nutrix.

Subject to compliance with these Terms and payment (if applicable), Nutrix grants Users a limited, non-exclusive, non-transferable, non-sublicensable license for personal, non-commercial use of the Services.

This does not grant rights to resell, copy, extract, or exploit any part of the Services.

Indemnity

The User agrees to hold Nutrix and its affiliates harmless from any claims, liabilities, or legal actions initiated by other Users, third parties, or authorities related to their activities on the Site or any violations of these Terms.

Subscriptions

The subscription remains active unless canceled by the User or rejected by the payment provider.

To use the Services, the User must have internet access and a compatible device.

Subscription charges and applicable fees (including taxes or transaction costs) are added to the selected payment method.

Users can cancel at any time and maintain access until the billing cycle ends.

Payments are non-refundable, even for unused or partially used periods.

To cancel, the User must follow the cancellation instructions on the Site.

Nutrix reserves the right to modify subscription plans and pricing with at least 30 days' notice via the Site.

Professionals and NGOs

Nutrix provides a directory of licensed Nutrition Professionals worldwide, showing their specialties. These professionals use Nutrix to offer services under their own terms, and are solely responsible for their service quality and compliance.

Nutrix does not recommend or endorse professionals or their services. It only verifies that professionals are licensed at the time of posting.

Users may post reviews under their own responsibility. Nutrix may edit or remove inappropriate comments.

The NGO section provides a list of institutions offering free nutritional health support. Nutrix does not evaluate or endorse their services.

Modifications to the Agreement

Nutrix may modify these General Terms and Conditions at any time by publishing the updated terms on the Site. Changes become effective 10 days after publication.

Users who do not accept the changes may request account deletion.

Use of the Site or Services implies acceptance of the current Terms and Conditions.

Jurisdiction and Applicable Law

This agreement is governed by the laws of the countries where Nutrix operates. Any dispute regarding this agreement shall be resolved by the courts of the corresponding country.

User Identification System

As verifying identity online is difficult, Nutrix cannot confirm the true identity of each User. Therefore, it may contract third-party User validation systems, based on data related to the User’s activity.

This identification system may vary over time. Nutrix prioritizes compliance with applicable regulations, best practices, and proactive responsibility.
